This Vendor Agreement (“Agreement”) is entered into as of the date of acknowledgment, by and between the undersigned (“Vendor”) and Hollidaysburg Now (“Company”).
1. **Vendor Account:** Vendor agrees to provide accurate information for the setup of their vendor account and for the listing of their products.
2. **Payment Processing:** Vendor acknowledges that Stripe will be used for credit card processing and that funds from sales, minus a 6.5% transaction fee, will be deposited directly into their bank account after processing. Vendors are required to set up a Stripe account in order to receive payouts.
3. **PA Sales Tax:** Vendor acknowledges that they will receive any PA Sales Tax collected and it is their responsibility to process sales tax payments for their orders to the State.
4. **Product Delivery:** Vendor agrees to offer customers free pick-up and/or delivery service, and understands that shared pick-up locations will be available to customers.
5. **Fees:** Vendor agrees to pay a $49 flat fee plus a 6.5% fee per transaction to Hollidaysburg Now. All fees are final and non-refundable. Refunds, if any, will exclude processing fees.
6. **Terms of Use:** Vendor acknowledges and agrees that Hollidaysburg Now reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is the vendor’s responsibility to check this Agreement periodically for changes. The continued use of or access to the website following the posting of any changes to this Agreement constitutes acceptance of those changes.
7. **Vendor and Product Removal:** Hollidaysburg Now reserves the right to remove any vendor or product from the Pop-Up Market at its sole discretion.
8. **Customer Information Confidentiality:** Vendors must keep all customer information confidential and use it only for the purpose of fulfilling orders.
9. **Privacy Policy:** Vendors agree to respect the privacy of all customers and to comply with all applicable privacy laws and regulations. Vendors will not share, sell, or disclose customer information to third parties without the express consent of the customer.
10. **Warranty Waiver:** Hollidaysburg Now provides the Online Pop-Up Market platform on an “as is” and “as available” basis. Hollidaysburg Now makes no representations or warranties of any kind, express or implied, as to the operation of the platform or the information, content, materials, or products included on the platform. Hollidaysburg Now expressly disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
11. **Marketing Consent:** By participating in the Pop-Up Market, Vendor grants Hollidaysburg Now the right to use the Vendor’s store name, logos, products, and any other information provided by the Vendor for marketing and promotional purposes. Hollidaysburg Now reserves the right to use this information in any manner it deems necessary to promote the Pop-Up Market.
By acknowledging this Agreement, the Vendor agrees to the terms and conditions stated above.
